These Terms and Conditions ("Terms") govern your access to and use of the ResQHub platform, websites, applications, and related services (collectively, the "Services") provided by ResQHub, LLC ("ResQHub", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Who may use the Services

You must be legally able to enter into a binding contract to use the Services. If you use the Services on behalf of an organization (for example, a dealer, monitoring center, business customer, or other entity), you represent that you have authority to bind that organization.

2. Accounts and access

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate information and keep your account details up to date.
• You must promptly notify us of any suspected unauthorized access or security incident involving your account.

3. Use of the Services and acceptable use

You agree not to:

• Use the Services in any way that violates applicable law, regulation, or third-party rights.
• Attempt to gain unauthorized access to any systems, accounts, data, or networks.
• Interfere with, disrupt, or degrade the integrity or performance of the Services.
• Reverse engineer, decompile, or attempt to extract source code except as permitted by law.
• Upload or transmit malware, harmful code, or content designed to compromise the Services.

4. Devices, monitoring, and life-safety disclaimers

The Services may present device data, event notifications, location information, and other monitoring-related information. You acknowledge that device connectivity, cellular/network availability, and third-party system integrations may affect performance. The Services are provided for informational and operational purposes and may not be uninterrupted, timely, secure, or error-free.

Do not rely on the Services as the sole means for emergency response, life-safety, medical, or critical communications. You are responsible for configuring and testing devices, escalations, and response procedures appropriate for your needs.

5. Third-party services and integrations

The Services may integrate with or depend on third-party products and services (for example, cellular carriers, device manufacturers, monitoring centers, telephony/SMS providers, mapping providers, analytics, or hosting). We are not responsible for third-party services and they may have their own terms and policies.

6. Fees, subscriptions, and billing (if applicable)

Some features may require payment or a subscription. Fees (if any) and billing terms will be provided through order forms, invoices, or the Services. Unless otherwise stated, fees are non-refundable to the maximum extent permitted by law.

8. Intellectual property

The Services, including their content, software, and design, are owned by ResQHub or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

9. Feedback

If you provide suggestions, feedback, or ideas, you grant ResQHub a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESQHUB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESQHUB'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO RESQHUB FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ResQHub, its affiliates, and their directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms.

13. Suspension and termination

We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, pose a security risk, or if required by law. You may stop using the Services at any time.

14. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Changes become effective when posted, unless stated otherwise. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction.
